OpenAI has refuted Elon Musk’s recent lawsuit, asserting that the billionaire initially supported the company’s transition to a for-profit model.
Musk’s Allegations Against OpenAI
Elon Musk, a co-founder of OpenAI, accused the organization of straying from its nonprofit origins. In August, he filed a lawsuit after withdrawing a previous complaint, claiming that OpenAI abandoned its founding principles.
Early Governance Discussions and Disputes
In a Dec. 13 blog post and court documents, OpenAI detailed Musk’s early role in shaping its organizational structure. Before the company’s launch in 2015, Musk reportedly expressed concerns about the nonprofit model.
Musk suggested via email that a “standard C corp with a parallel nonprofit” could work better for OpenAI. The company argued this demonstrated his initial support for a flexible structure.
By 2017, Musk revisited the topic, advocating for a for-profit transition as OpenAI’s technological advancements accelerated. Greg Brockman, a co-founder, noted Musk’s belief that the nonprofit model might limit OpenAI’s potential.
Tensions Over Leadership and Control
Despite Musk’s early support, tensions surfaced when he proposed leading the for-profit arm. OpenAI claimed Musk instructed his financial team to establish a public benefit corporation under his control. This included demands for majority ownership, board dominance, and the role of CEO.
OpenAI’s leadership, including CEO Sam Altman, rejected Musk’s terms, prompting his departure from the board in 2018.
The Shift to a Capped-Profit Model
In 2019, OpenAI transitioned to a capped-profit model, overseen by its nonprofit entity. The organization stated the move was essential to attract the substantial funding needed to compete in the fast-evolving AI landscape. Investments from major partners, including Microsoft, followed this decision.
OpenAI also revealed Musk was offered equity in the capped-profit entity multiple times but declined. In 2019, Musk reportedly asked OpenAI to confirm he had no financial stake in its for-profit operations.
Rivalry Between OpenAI and xAI
In 2023, Musk launched xAI as a direct competitor to OpenAI. The new company has secured billions in funding and unveiled models to rival OpenAI’s generative AI tools, such as ChatGPT.
